Terms of service

Effective date: September 8, 2026

These Terms of Service ("Terms") are an agreement between FarmBot Inc, a California benefit corporation doing business as 100x Apps ("100x Apps," "we," "us," or "our"), and the person or organization using 100x Media Manager (the "Service," "you," or "Merchant"). By installing, subscribing to, accessing, or using the Service, you agree to these Terms, our Privacy Policy, and, when we process personal data for you, our Data Processing Addendum. If you use the Service for an organization, you represent that you have authority to bind it.

1. Eligibility and accounts

You must be at least 18 years old and capable of entering a binding agreement. Access is authenticated through Shopify or, for invited users, verified email and passkeys. You are responsible for controlling administrator access, maintaining the security of connected accounts and recovery codes, and promptly disconnecting unauthorized users or credentials. You are responsible for activity performed by authorized users in your workspace.

2. The Service

100x Media Manager helps merchants import and organize media and source material, enrich and search a content library, prepare campaigns, generate and rewrite drafts, schedule approved PostPacks, and publish or export content to selected destinations. Available providers, limits, and features may vary by plan, account eligibility, provider approval, location, and platform capabilities.

The Service is the scheduling source of truth for supported destinations, but third-party platforms control their own APIs, review processes, availability, content rules, and final publication outcomes. A connection or scheduled date does not guarantee that a provider will accept, publish, display, or continue hosting content.

3. Merchant content and permissions

You retain ownership of content and intellectual property rights you submit to the Service ("Merchant Content"). You grant us and our service providers a limited, worldwide, non-exclusive license to host, store, copy, analyze, format, transcode, adapt, generate requested derivatives from, transmit, and publish Merchant Content only as reasonably necessary to operate, secure, support, and improve the Service for you.

You represent that you have all rights, licenses, permissions, and lawful bases needed for Merchant Content, connected accounts, and publication instructions. You are responsible for copyright, trademark, publicity, privacy, advertising, accessibility, disclosure, and other legal obligations applicable to your content. Do not submit confidential or sensitive information that is unnecessary for the Service.

4. Generated content and merchant review

The Service may use artificial intelligence and automated analysis to enrich media and prepare drafts based on selected evidence. Generated content may be inaccurate, incomplete, non-unique, or unsuitable for a destination. You must review and approve content before it is scheduled or published. You are responsible for the final text, media, claims, links, disclosures, targeting, and publication choices.

We may enforce safeguards such as destination capability checks, media limits, approval states, retry controls, and rewrite limits. These safeguards reduce risk but do not replace Merchant review or legal compliance.

5. Connected services

You may authorize the Service to access Shopify and third-party destinations. Your use of each connected service remains subject to that provider's terms and policies. You authorize us to use the granted credentials and scopes to import selected content, discover eligible accounts, upload media, create drafts, publish approved posts, check remote status, and reconcile identifiers and permalinks as requested through the Service.

We are not responsible for provider outages, account restrictions, revoked permissions, API changes, rate limits, moderation, reach, data loss at a provider, or actions a provider takes under its policies. You may disconnect a provider at any time, although disconnection cannot retract content already delivered or published.

6. Acceptable use

You may not use the Service to:

We may suspend or limit access when reasonably necessary to protect the Service, connected providers, merchants, or the public; investigate suspected misuse; comply with law; or address an overdue or invalid subscription.

7. Trials, subscriptions, usage, and payment

Plan prices, trial length, included usage, storage, scheduling horizons, and any additional usage charges are displayed before subscription and on the Billing page. Shopify processes app charges under the merchant's Shopify account. You authorize Shopify and us to charge the selected subscription and clearly disclosed usage fees.

Usage is measured according to the definitions shown in the Service. Plan allowances reset as stated on the Billing page and unused allowances do not roll over unless expressly stated. Taxes may apply. Except where required by law or Shopify policy, charges already incurred are non-refundable. We may change future pricing or plan features with advance notice; changes do not retroactively alter an already-paid billing period.

8. Cancellation, uninstall, and deletion

You may cancel through the Service. Cancellation takes effect at the end of the paid billing period, and full access continues until then. The workspace then becomes read-only for 14 days. During that period you may reactivate or permanently delete it. If you do neither, the workspace and its stored content are permanently deleted after the reactivation period.

Uninstalling the Shopify app immediately stops Shopify access and disables publishing connections, except that an independently authorized, operator-managed standalone workspace may retain its non-Shopify connections. Shopify's later store-redaction request still triggers deletion of the associated workspace. You remain responsible for content already published to third-party destinations; deleting the Service workspace does not delete remote posts unless the destination separately supports and completes that action.

9. 100x Apps intellectual property

The Service, software, interface, workflows, documentation, branding, and other materials we provide are owned by FarmBot Inc or its licensors and are protected by intellectual-property laws. Subject to these Terms and an active right to use the Service, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for your organization's internal business purposes. No rights are granted except as expressly stated.

10. Feedback

If you provide suggestions or feedback, you grant us permission to use it without restriction or compensation, provided we do not publicly identify you without permission.

11. Service changes

We continually change and improve the Service. We may add, modify, limit, or discontinue features. When reasonably possible, we will provide advance notice of a material discontinuation and an opportunity to export available information. Beta or preview features may be changed or withdrawn and may be less reliable than generally available features.

12. Disclaimers

We provide the Service using a commercially reasonable level of skill and care. Except for obligations expressly stated in these Terms, and to the maximum extent permitted by law, the Service is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant uninterrupted or error-free operation, particular marketing results, content accuracy, platform acceptance, publication reach, or preservation by a third-party destination.

13. Limitation of liability

To the maximum extent permitted by law, FarmBot Inc and its affiliates, officers, employees, suppliers, and distributors will not be liable for lost profits, revenues, goodwill, business opportunities, or data, or for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the Service, even if advised that such damages are possible.

To the maximum extent permitted by law, our total liability for all claims arising from or related to the Service will not exceed the amount you paid for the Service during the 12 months before the event giving rise to the claim. These limitations do not apply where prohibited by law.

14. Indemnity

If you use the Service on behalf of a business, that business will defend and indemnify FarmBot Inc and its affiliates, officers, employees, and agents from third-party claims, damages, and reasonable expenses arising from Merchant Content, publication instructions, connected accounts, violation of these Terms, or infringement of another person's rights, except to the extent caused by our breach of these Terms or willful misconduct.

15. Governing law and disputes

California law governs these Terms, excluding its conflict-of-law rules. Any claim arising from these Terms or the Service will be brought exclusively in the state or federal courts located in San Luis Obispo County, California, and each party consents to their jurisdiction and venue. Nothing in this section prevents either party from seeking appropriate injunctive relief.

16. Changes to these Terms

We may update these Terms to reflect changes to the Service, law, or risk. We will post updated Terms here and change the effective date. Material changes will take effect no sooner than 14 days after notice unless a change is required sooner for law, security, or a new feature. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using and cancel the Service.

17. General terms

These Terms, the Privacy Policy, the plan terms shown at purchase, and any additional terms expressly presented for a feature are the complete agreement concerning the Service. If additional terms conflict with these Terms, the additional terms control for that feature. You may not assign these Terms without our written consent; we may assign them in connection with a merger, reorganization, or sale of the Service. Failure to enforce a provision is not a waiver. If a provision is unenforceable, the remaining provisions remain effective. These Terms do not create third-party beneficiary rights.
